1.1 In these Terms and Conditions, the following words and expressions shall have the meanings assigned to them below:
1.2 In these Terms, unless the context indicates otherwise:
(a) headings are for convenience only and shall not affect the interpretation of these Terms;
(b) words importing the singular shall include the plural and vice versa;
(c) words importing one gender shall include all genders;
(d) a reference to a "person" includes a natural person, company, close corporation, partnership, trust, or any other legal entity;
(e) any reference to a statute, regulation, or other legislation shall include all amendments, re-enactments, or replacements thereof;
(f) any provision in a definition which confers rights or imposes obligations on any party shall have substantive effect notwithstanding that it appears in a definition.
2.1 Quicklist operates an online marketplace accessible at www.quicklist.co.zm, which facilitates transactions between Buyers and Sellers.
2.2 These Terms constitute a legally binding agreement between you and Quicklist.
2.3 Registered Users accept these Terms by clicking "I Agree" (or a similar affirmative action) during the registration process. Unregistered Users accept these Terms through their continued access to or use of the Platform.
2.4 If you do not agree with any provision of these Terms, you must immediately cease using the Platform.
2.5 These Terms incorporate by reference the Quicklist Privacy Policy and any additional policies, guidelines, or rules published on the Platform from time to time. In the event of a conflict between these Terms and any other policy, these Terms shall prevail unless expressly stated otherwise.
2.6 Quicklist acts solely as an intermediary and is not a party to any Transaction between Buyers and Sellers. To the extent that Quicklist facilitates payments, it acts only as a limited payment collection agent on behalf of the Seller and does not thereby become a party to the underlying sale agreement.
2.7 Quicklist does not guarantee, warrant, or endorse any Goods, Services, or Content made available on the Platform. All Transactions are entered into at the sole risk of the Users involved.
2.8 These Terms shall be governed by and construed in accordance with the laws of the Republic of Zambia. The courts of the Republic of Zambia shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms.
2.9 The Platform is intended primarily for use within the Republic of Zambia. Delivery of Goods is limited to addresses within Zambia, unless the Buyer and Seller expressly agree otherwise.
2.10 Quicklist reserves the right to amend these Terms at any time by publishing the amended version on the Platform. Amendments shall take effect from the date of publication. Where amendments are material, Quicklist shall use reasonable efforts to notify registered Users by email or by means of a prominent notice on the Platform.
3.1 Unregistered Users may browse the Platform but may not buy, sell, or access interactive features. An Account is required to engage in Transactions or use such features.
3.2 When registering for an Account, you must provide accurate, current, and complete information as prompted by the registration form. You are responsible for keeping your Account information up to date at all times.
3.3 You are solely responsible for maintaining the confidentiality and security of your Account credentials, including your password.
3.4 You are responsible for all activity that occurs under your Account, whether or not authorised by you. You must notify Quicklist immediately of any unauthorised access to or use of your Account.
3.5 You may permit your employees, agents, or representatives to use your Account, provided that:
(a) you remain fully liable for all acts and omissions of such persons;
(b) such persons comply with these Terms at all times; and
(c) you indemnify Quicklist against all claims, damages, losses, costs, and legal fees arising from such use.
3.6 If you register an Account on behalf of a legal entity, you warrant and represent that you have the authority to bind that entity to these Terms.
3.7 You must be at least 18 years of age to register an Account or enter into any binding agreement on the Platform.
3.8 Un-rehabilitated insolvents and persons who are legally incapacitated may not register for or use an Account on the Platform.
3.9 Each User may hold only one Account unless Quicklist has provided prior written consent for additional accounts. Quicklist may, without notice, suspend or permanently close any duplicate accounts, including the primary Account.
3.10 Quicklist may, in its sole discretion and without prior notice:
(a) refuse any application for registration;
(b) suspend or restrict access to any Account; or
(c) permanently close any Account,
for any reason, including but not limited to breach of these Terms, suspected fraud, or conduct that Quicklist considers harmful to the Platform, its Users, or its reputation.
4.1 Sellers may list Goods or Services for sale on the Platform in accordance with these Terms and any applicable listing policies published by Quicklist from time to time.
4.2 Each listing must contain accurate, complete, and truthful information, including but not limited to:
(a) a clear and accurate description of the Goods or Services;
(b) the price, inclusive of any applicable taxes;
(c) accurate images that are representative of the actual Goods or Services;
(d) available quantity;
(e) delivery or collection options and any associated costs; and
(f) any material defects, conditions, or limitations.
4.3 Sellers warrant and represent that:
(a) they have full legal right, title, and authority to sell the Goods or provide the Services listed;
(b) the Goods or Services comply with all applicable laws and regulations of the Republic of Zambia, including but not limited to consumer protection, product safety, and trade regulations;
(c) the Goods are not counterfeit, stolen, or otherwise unlawfully obtained;
(d) the listing does not infringe the intellectual property rights or any other rights of any third party; and
(e) they hold all necessary licences, permits, and approvals required to sell the Goods or provide the Services.
4.4 Sellers shall not list any Goods or Services that are:
(a) prohibited by any applicable law or regulation;
(b) restricted or controlled substances, including but not limited to drugs, firearms, ammunition, explosives, or hazardous materials, unless expressly permitted by Quicklist and all applicable laws;
(c) counterfeit, pirated, or infringing goods;
(d) stolen property;
(e) adult content or services, unless listed in designated categories (if any) approved by Quicklist;
(f) live animals, unless expressly permitted by Quicklist in accordance with applicable law; or
(g) otherwise prohibited by Quicklist's listing policies as published on the Platform from time to time.
4.5 Quicklist reserves the right, in its sole discretion and without prior notice, to:
(a) remove, edit, or disable any listing;
(b) restrict a Seller's ability to create new listings; or
(c) take any other action Quicklist deems appropriate,
where a listing violates these Terms, any Quicklist policy, or any applicable law, or where Quicklist considers the listing to be misleading, inappropriate, or harmful.
4.6 A listing constitutes a binding offer to sell the Goods or Services at the stated price and on the stated terms, unless the Seller clearly indicates in the listing that it is an invitation to treat.
4.7 Sellers are responsible for managing their listings, including updating availability, pricing, and any other material information in a timely manner. Failure to do so may result in action under clause 4.5 or clause 3.10.
4.8 Quicklist may charge listing fees, commission, or other charges as published on the Platform from time to time. By creating a listing, the Seller agrees to pay all applicable fees.
5.1 By placing an order on the Platform, a Buyer makes an offer to purchase the Goods or Services on the terms set out in the relevant listing and these Terms.
5.2 A binding Transaction is formed when:
(a) the Buyer has submitted an order through the Platform;
(b) payment has been processed or confirmed by the Payment Processor; and
(c) the Seller has confirmed acceptance of the order,
unless otherwise specified in the listing or these Terms.
5.3 Quicklist may send an order acknowledgement to the Buyer, but such acknowledgement does not constitute acceptance of the order by the Seller.
5.4 The Seller reserves the right to decline or cancel an order for any legitimate reason, including but not limited to:
(a) unavailability of the Goods or Services;
(b) errors in the listing, including pricing errors; or
(c) suspected fraud or other prohibited conduct by the Buyer.
5.5 Buyers warrant and represent that:
(a) they have the legal capacity and authority to enter into Transactions;
(b) the information provided in connection with any order is accurate and complete;
(c) they will not use the Platform for any unlawful or fraudulent purpose; and
(d) they will pay the full purchase price and any applicable delivery charges.
5.6 Buyers shall inspect the Goods upon delivery and notify the Seller and Quicklist of any defects, damage, or discrepancies within forty-eight (48) hours of delivery, unless a longer period is specified by Quicklist or required by law.
5.7 Risk in the Goods passes to the Buyer upon delivery. Title to the Goods passes to the Buyer upon the later of delivery or receipt of full payment by the Seller.
6.1 All prices displayed on the Platform are in Zambian Kwacha (ZMW) unless otherwise stated.
6.2 Sellers are solely responsible for setting the prices of their Goods and Services. Quicklist does not control or determine pricing.
6.3 Prices must include all applicable taxes, unless the listing clearly states otherwise and applicable law permits such exclusion.
6.4 Quicklist reserves the right to display estimated delivery costs or total order costs to Buyers, but the final amount payable shall be confirmed at checkout.
6.5 Payments shall be processed through the Payment Processor(s) approved by Quicklist. By making a purchase, the Buyer authorises the Payment Processor to debit the applicable amount from the Buyer's chosen payment method.
6.6 Quicklist may, where applicable, hold funds in escrow or in a trust account on behalf of the Seller until the Transaction is completed or a dispute is resolved. Release of funds to the Seller shall be in accordance with Quicklist's payment policies as published on the Platform from time to time.
6.7 Quicklist may deduct its commission, fees, or other charges from the funds held before disbursing the balance to the Seller.
6.8 Quicklist shall not be liable for any failure, delay, or error in payment processing caused by the Payment Processor, the Buyer's bank or financial institution, or any other third party.
6.9 Sellers shall not request or accept payment outside the Platform for Transactions initiated on the Platform. Any attempt to circumvent the Platform's payment system may result in suspension or closure of the Seller's Account.
6.10 In the event of a pricing error, the Seller may cancel the order and issue a full refund to the Buyer. Quicklist shall not be liable for any pricing errors in Seller listings.
7.1 The Seller is solely responsible for the packaging, dispatch, and delivery of Goods to the Buyer within the timeframe specified in the listing or as agreed between the Seller and Buyer.
7.2 Sellers must dispatch Goods within the timeframe stated in the listing. If no dispatch timeframe is stated, the Seller must dispatch within five (5) business days of order confirmation.
7.3 Sellers must provide accurate tracking information to the Buyer and Quicklist, where available.
7.4 Delivery shall be to the address specified by the Buyer at the time of placing the order. The Buyer is responsible for ensuring the accuracy of the delivery address.
7.5 Where Quicklist offers or facilitates a delivery or logistics service, Quicklist acts as an intermediary between the Seller and the logistics provider. Quicklist shall not be liable for any loss, damage, delay, or non-delivery caused by the logistics provider.
7.6 If Goods are not delivered within the estimated timeframe, the Buyer should first contact the Seller. If the matter remains unresolved, the Buyer may raise a dispute in accordance with Section 8.
7.7 The Seller bears the risk of loss or damage to Goods during transit, unless the Seller and Buyer have agreed otherwise or the Buyer has arranged their own shipping.
7.8 Where the Buyer is unavailable to accept delivery and the Goods are returned to the Seller, the Buyer may be liable for additional delivery charges for redelivery.
8.1 Buyers may request a return or refund in the following circumstances:
(a) the Goods received are materially different from the listing description;
(b) the Goods are defective, damaged, or not of merchantable quality;
(c) the wrong Goods were delivered;
(d) the Goods were not delivered within the agreed or estimated timeframe and the Buyer no longer requires them; or
(e) as otherwise required by applicable law, including the laws of the Republic of Zambia relating to consumer protection.
8.2 Requests for returns or refunds must be submitted through the Platform within seven (7) calendar days of delivery, unless a different period is specified by Quicklist or required by applicable law.
8.3 The Buyer must return the Goods in their original condition, including all packaging, tags, and accessories, unless the Goods were received in a defective or damaged condition.
8.4 Unless the return is due to the Buyer's change of mind (where permitted), the Seller shall bear the cost of return shipping. In the case of a change-of-mind return, the Buyer shall bear the cost of return shipping, and the Seller may deduct a reasonable restocking fee, provided this was clearly stated in the listing.
8.5 Refunds shall be processed through the original payment method within a reasonable period, subject to the Payment Processor's processing times.
8.6 Where a dispute arises between a Buyer and Seller regarding a Transaction, the parties shall first attempt to resolve the dispute amicably between themselves.
8.7 If the dispute cannot be resolved between the parties within seven (7) calendar days, either party may escalate the dispute to Quicklist by submitting a dispute resolution request through the Platform.
8.8 Quicklist may, at its sole discretion, mediate the dispute and make a determination. Such determination shall be final and binding on both parties to the extent permitted by law, subject to each party's right to pursue legal remedies in the courts of the Republic of Zambia.
8.9 Quicklist may withhold funds from the Seller or issue a refund to the Buyer pending the outcome of a dispute.
8.10 Quicklist shall not be liable for any loss or damage suffered by any User as a result of a dispute between a Buyer and a Seller.
9.1 Users shall not, directly or indirectly:
(a) violate any applicable law, regulation, or ordinance of the Republic of Zambia or any other applicable jurisdiction;
(b) infringe the intellectual property rights, privacy rights, or any other rights of any third party;
(c) post, upload, or transmit any Content that is false, misleading, defamatory, obscene, threatening, abusive, hateful, discriminatory, or otherwise objectionable;
(d) engage in fraud, misrepresentation, or deceptive practices;
(e) manipulate prices, listings, reviews, ratings, or search results;
(f) create fake accounts, fake reviews, or fake listings;
(g) use the Platform to distribute spam, unsolicited commercial messages, or malware;
(h) attempt to gain unauthorised access to the Platform, other Users' Accounts, or any systems, servers, or networks connected to the Platform;
(i) interfere with or disrupt the operation of the Platform or the servers or networks used to make the Platform available;
(j) scrape, harvest, or collect data from the Platform through automated means without Quicklist's prior written consent;
(k) use the Platform to facilitate money laundering, terrorist financing, or any other financial crime;
(l) circumvent or attempt to circumvent the Platform's payment system, including by soliciting or accepting payment outside the Platform for Transactions initiated on the Platform;
(m) impersonate any person or entity, or falsely state or misrepresent an affiliation with any person or entity;
(n) engage in shill bidding, fake transactions, or any form of market manipulation;
(o) list or sell Goods or Services in violation of Section 4.4; or
(p) engage in any other conduct that Quicklist, in its sole discretion, considers harmful to the Platform, its Users, or its reputation.
9.2 Quicklist reserves the right to investigate any suspected violation of this Section and to take any action it deems appropriate, including but not limited to:
(a) removal of Content or listings;
(b) suspension or permanent closure of Accounts;
(c) withholding of funds;
(d) reporting to relevant law enforcement authorities; and
(e) pursuing legal action.
10.1 All intellectual property rights in and to the Platform, including but not limited to the website design, layout, graphics, logos, trademarks, trade names, software, source code, databases, and all other proprietary materials, are and shall remain the exclusive property of Quicklist or its licensors.
10.2 No User may copy, reproduce, modify, distribute, display, perform, republish, download, store, transmit, or otherwise use any part of the Platform or its proprietary materials without the prior written consent of Quicklist, except as expressly permitted by these Terms or applicable law.
10.3 By posting or uploading Content to the Platform, you grant Quicklist a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, transferable, and sub-licensable licence to use, copy, reproduce, modify, adapt, translate, publish, display, distribute, and create derivative works from such Content for the purposes of operating, promoting, and improving the Platform.
10.4 You represent and warrant that you own or have the necessary rights, licences, and permissions to post or upload any Content to the Platform and to grant the licence described in clause 10.3.
10.5 Quicklist respects the intellectual property rights of others. If you believe that any Content on the Platform infringes your intellectual property rights, you may submit a written notice to Quicklist at the contact details provided on the Platform, including:
(a) identification of the intellectual property right claimed to be infringed;
(b) identification of the allegedly infringing Content and its location on the Platform;
(c) your contact information;
(d) a statement that you have a good faith belief that the use of the Content is not authorised; and
(e) a statement, under penalty of perjury, that the information in the notice is accurate and that you are the rights holder or authorised to act on their behalf.
10.6 Quicklist may, in its sole discretion, remove or disable access to any Content that is alleged to infringe intellectual property rights, with or without notice.
11.1 Users are solely responsible for all Content they post, upload, or transmit on or through the Platform.
11.2 Quicklist does not pre-screen, monitor, or endorse any Content posted by Users. However, Quicklist reserves the right (but has no obligation) to review, edit, move, or remove any Content at any time, for any reason, without notice.
11.3 Users shall not post or upload Content that:
(a) violates any applicable law or regulation;
(b) infringes the intellectual property rights or other rights of any third party;
(c) is false, misleading, deceptive, or fraudulent;
(d) is defamatory, obscene, pornographic, vulgar, offensive, or threatening;
(e) promotes discrimination, hatred, or violence against any individual or group;
(f) contains viruses, malware, or other harmful code;
(g) constitutes spam or unsolicited advertising; or
(h) is otherwise objectionable as determined by Quicklist in its sole discretion.
11.4 Reviews and ratings must be honest, accurate, and based on genuine personal experience with the relevant Goods, Services, or Seller. Users shall not post fake reviews, solicit fake reviews, or offer incentives in exchange for reviews.
11.5 Quicklist may display aggregated ratings and reviews on the Platform. Quicklist does not verify the accuracy of reviews and shall not be liable for any Content posted by Users.
11.6 Any Content posted by Users represents the views and opinions of the respective User and does not represent the views or opinions of Quicklist.
12.1 Quicklist collects, processes, stores, and uses personal data in accordance with its Privacy Policy, which is available on the Platform and incorporated into these Terms by reference.
12.2 By using the Platform, you consent to the collection, processing, and use of your personal data as described in the Privacy Policy.
12.3 Quicklist shall take reasonable technical and organisational measures to protect personal data against unauthorised access, loss, destruction, or alteration, in accordance with applicable data protection laws of the Republic of Zambia.
12.4 Users shall not collect, use, or disclose the personal data of other Users except as necessary to complete a Transaction or as otherwise expressly authorised by the relevant User.
12.5 Sellers who receive personal data of Buyers in connection with a Transaction shall:
(a) use such data solely for the purpose of fulfilling the Transaction;
(b) not use such data for marketing or any other purpose without the Buyer's express consent; and
(c) take reasonable measures to protect such data.
12.6 Quicklist may disclose personal data to third parties, including Payment Processors, logistics providers, and law enforcement authorities, as described in the Privacy Policy and as required by law.
13.1 To the maximum extent permitted by the laws of the Republic of Zambia, Quicklist, its directors, officers, employees, agents, and affiliates shall not be liable for any:
(a) indirect, incidental, special, consequential, or punitive damages;
(b) loss of profits, revenue, business, goodwill, data, or anticipated savings;
(c) damages arising from any Transaction between a Buyer and a Seller;
(d) damages arising from the acts or omissions of any User, Payment Processor, logistics provider, or other third party;
(e) damages arising from any defect, deficiency, or failure of any Goods or Services purchased through the Platform;
(f) damages arising from unauthorised access to or use of the Platform or any User's Account;
(g) damages arising from any interruption, suspension, or termination of the Platform or any part thereof;
(h) damages arising from any virus, malware, or other harmful code transmitted through the Platform; or
(i) any other damages arising out of or in connection with the use of or inability to use the Platform,
whether based on contract, tort (including negligence), strict liability, or any other legal theory, even if Quicklist has been advised of the possibility of such damages.
13.2 To the extent that Quicklist is found liable for any claim, Quicklist's total aggregate liability shall not exceed the greater of:
(a) the total fees paid by you to Quicklist in the twelve (12) months immediately preceding the event giving rise to the claim; or
(b) Five Hundred Zambian Kwacha (ZMW 500.00).
13.3 The Platform is provided on an "as is" and "as available" basis. Quicklist makes no warranties or representations, express or implied, regarding the Platform, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, completeness, or availability.
13.4 Quicklist does not warrant that:
(a) the Platform will be uninterrupted, error-free, or secure;
(b) any defects in the Platform will be corrected;
(c) the Platform or the servers that make it available are free of viruses or other harmful components; or
(d) the results obtained from the use of the Platform will be accurate or reliable.
13.5 Nothing in these Terms shall exclude or limit liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded or limited under the laws of the Republic of Zambia.
14.1 You agree to indemnify, defend, and hold harmless Quicklist, its directors, officers, employees, agents, and affiliates from and against any and all claims, demands, actions, proceedings, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
(a) your use of or access to the Platform;
(b) your breach of these Terms or any applicable law;
(c) any Content you post, upload, or transmit on the Platform;
(d) your infringement of any intellectual property or other right of any third party;
(e) any Transaction you enter into with another User;
(f) any dispute between you and another User;
(g) your negligence, wilful misconduct, or fraud; or
(h) any use of your Account by your employees, agents, or representatives in accordance with clause 3.5.
14.2 Quicklist reserves the right, at its own expense, to assume the exclusive defence and control of any matter subject to indemnification by you. You agree to cooperate fully with Quicklist in the defence of any such claim.
15.1 You may terminate your Account at any time by submitting a request through the Platform or by contacting Quicklist at the contact details provided on the Platform.
15.2 Quicklist may, in its sole discretion and without prior notice:
(a) suspend or restrict your access to the Platform or your Account;
(b) temporarily or permanently close your Account; or
(c) terminate these Terms as they relate to you,
for any reason, including but not limited to:
(i) breach of these Terms;
(ii) suspected fraud, illegal activity, or prohibited conduct;
(iii) extended periods of Account inactivity;
(iv) requests by law enforcement or governmental authorities;
(v) discontinuation of the Platform or any part thereof; or
(vi) any reason Quicklist considers necessary for the protection of the Platform, its Users, or its interests.
15.3 Upon termination or closure of your Account:
(a) all rights and licences granted to you under these Terms shall immediately cease;
(b) you must immediately cease all use of the Platform;
(c) any outstanding Transactions shall be completed in accordance with these Terms, unless Quicklist determines otherwise;
(d) Quicklist may retain your data as necessary to comply with legal obligations, resolve disputes, and enforce these Terms, in accordance with the Privacy Policy; and
(e) any funds owed to you shall be disbursed in accordance with Quicklist's payment policies, less any applicable fees, charges, or amounts owed to Quicklist.
15.4 Sections 1, 8, 10, 12, 13, 14, 16, and 17 shall survive termination or expiry of these Terms.
16.1 Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof (a "Dispute"), shall be resolved in accordance with this Section.
16.2 The parties shall first attempt to resolve any Dispute by good faith negotiation. The aggrieved party shall provide written notice of the Dispute to the other party, and the parties shall use reasonable endeavours to resolve the Dispute within thirty (30) calendar days of such notice.
16.3 If the Dispute is not resolved through negotiation within the period specified in clause 16.2, either party may refer the Dispute to mediation administered by a mutually agreed mediator in Lusaka, Zambia. The costs of mediation shall be shared equally between the parties, unless the mediator determines otherwise.
16.4 If the Dispute is not resolved through mediation within thirty (30) calendar days of referral (or such longer period as the parties may agree), either party may institute legal proceedings in the courts of the Republic of Zambia, which shall have exclusive jurisdiction.
16.5 Nothing in this Section shall prevent either party from seeking urgent interim or injunctive relief from a court of competent jurisdiction where necessary to protect its rights or interests.
16.6 For disputes between Buyers and Sellers regarding Transactions, the procedure set out in Section 8 shall apply in the first instance, before recourse to this Section.
17.1 Entire Agreement. These Terms, together with the Privacy Policy and any other policies incorporated by reference, constitute the entire agreement between you and Quicklist with respect to the subject matter hereof and supersede all prior or contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written.
17.2 Severability. If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, such provision shall be severed from these Terms, and the remaining provisions shall continue in full force and effect.
17.3 Waiver. No failure or delay by Quicklist in exercising any right, power, or remedy under these Terms shall operate as a waiver thereof, nor shall any single or partial exercise of any right, power, or remedy preclude any further exercise thereof or the exercise of any other right, power, or remedy.
17.4 Assignment. Quicklist may assign, transfer, or delegate any of its rights or obligations under these Terms to any third party without your prior consent. You may not assign, transfer, or delegate any of your rights or obligations under these Terms without Quicklist's prior written consent.
17.5 No Agency. Nothing in these Terms shall be construed as creating any agency, partnership, joint venture, or employment relationship between Quicklist and any User.
17.6 Force Majeure. Quicklist shall not be liable for any failure or delay in the performance of its obligations under these Terms to the extent that such failure or delay is caused by circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, epidemics, pandemics, war, terrorism, civil unrest, government action, power failure, internet or telecommunications failure, or labour disputes.
17.7 Notices. Quicklist may provide notices to you by email to the address associated with your Account, by posting a notice on the Platform, or by any other reasonable means. You may provide notices to Quicklist at the contact details published on the Platform.
